Dispute resolution, binding arbitration, and class action waiver

Please read this section carefully. It affects your legal rights.

  1. Agreement to arbitrate. You and BH Solutions ("we", "us", or "our"), the Nevada business that runs playninefold.com ("Ninefold"), agree that any dispute or claim arising from or relating to Ninefold, its puzzles, your use of the website, or any paid membership will be resolved by individual binding arbitration, except as stated below. The Federal Arbitration Act governs this agreement to arbitrate.
  2. Informal resolution first. Before starting arbitration, both sides agree to try to resolve the dispute informally for at least 30 days. Email hello@playninefold.com with your name, contact information, a description of the dispute, and the resolution you want. We will send you similar notice if we have a claim against you. If the dispute is not resolved after 30 days, either side may start arbitration.
  3. Rules and hearings. The American Arbitration Association ("AAA") will administer the arbitration under its Consumer Arbitration Rules, available at adr.org. A single neutral arbitrator will decide the dispute. Hearings may happen by phone, video, written submissions, or in person in the county where you live, as the AAA rules allow. The arbitrator may award any individual relief available under law. The decision is binding, subject to limited court review.
  4. Fees. You pay only the consumer filing fee required by the AAA rules, unless it is waived. BH Solutions pays all other AAA administrative and arbitrator fees, as the AAA rules and applicable law require.
  5. Small claims. Either side may bring an individual claim in small claims court instead of arbitration if the claim qualifies and stays in that court.
  6. Class action waiver. YOU AND BH SOLUTIONS MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. No court or arbitrator may combine individual claims or hold a class arbitration, except where applicable law requires otherwise.
  7. Jury trial waiver. TO THE EXTENT PERMITTED BY LAW, YOU AND BH SOLUTIONS WAIVE ANY RIGHT TO A JURY TRIAL FOR DISPUTES COVERED BY THIS SECTION.
  8. Mass arbitration. If 25 or more substantially similar arbitration demands are filed against BH Solutions by the same or coordinated counsel, the AAA Mass Arbitration Supplementary Rules apply where the AAA finds them applicable. The parties agree to reasonable batching, bellwether, and scheduling procedures approved by the AAA, while keeping each claim individual and preserving filing deadlines. No batching procedure creates a class arbitration.
  9. Right to opt out. You may opt out of this arbitration agreement by emailing hello@playninefold.com within 30 days of first accepting these Terms. Include your name, email address, and a clear statement that you are opting out of arbitration. Opting out does not affect your access to Ninefold or any membership.
  10. Governing law and venue. Nevada law governs these Terms, except where federal law controls. Any dispute not subject to arbitration must be brought in the state or federal courts located in Clark County, Nevada, unless applicable law requires another venue.
  11. Severability. If any part of this section is unenforceable, the rest still applies. If the class action waiver is found unenforceable for a claim, or a claim seeks public injunctive relief that cannot be arbitrated under applicable law, that claim proceeds in court, and it is paused until any individual claims are decided in arbitration.
